Colt CZ Group SE (\u201cColt CZ\u201d, the\u00a0\u201cGroup\u201d or the\u00a0\u201cCompany\u201d) hereby announces that on August 28, 2025, it entered into a\u00a0share purchase and sale agreement (\u201cAgreement\u201d or \u201cSPA\u201d) with Synthesia, a.s. (\u201cSeller\u201d), 100% owned by Kaprain Chemical Limited (\u201cKaprain\u201c), for the\u00a0purchase of Synthesia Nitrocellulose, a.s. (\u201cSNC\u201c). Colt CZ will acquire a\u00a051% stake now, with the\u00a0remaining 49% to follow under already agreed terms in the\u00a0medium term.<\/p>\n
Synthesia Nitrocellulose, a.s. was founded in December 2024 through a\u00a0spin-off of the\u00a0nitrocellulose manufacturing division from Synthesia, a.s., one of the\u00a0largest energetic nitrocellulose manufacturers in Europe and North America. Energetic nitrocellulose is a\u00a0basic raw material for the\u00a0production of single and multi-component powders and propellants, and is essential for the\u00a0production of small-, medium-, and large-caliber ammunition. SNC is currently expanding its production capacity to meet growing market demand. Synthesia Nitrocellulose is also a\u00a0major manufacturer of industrial nitrocellulose and oxycellulose for healthcare use.<\/p>\n
The\u00a0total transaction price is CZK 22 billion based on enterprise value[1], corresponding to approximately an 8.2x multiple of the\u00a0expected 2025 EBITDA. The\u00a0purchase price will be paid through a\u00a0combination of cash and the\u00a0issuance of new common shares of Colt CZ, which will represent approximately 40% of the\u00a0purchase price. Upon completion of the\u00a0transaction, Kaprain will become the\u00a0third largest shareholder of Colt CZ. Synthesia, a.s. will remain the\u00a0owner of the\u00a0remaining shares of SNC. The\u00a0transaction will be settled after the\u00a0conditions precedent are met, in particular regulatory approvals by authorities in various countries, which is expected no later than in the\u00a0first quarter of 2026.<\/p>\n
In connection with the\u00a0transaction, Colt CZ Group has also agreed to acquire the\u00a0energy division of Synthesia, a.s., which generates and supplies energy for the\u00a0industrial complex in Semt\u00edn and Rybitv\u00ed. The\u00a0energy division will first be spun off into a\u00a0separate company. This part of the\u00a0transaction is expected to be completed in the\u00a0first half of 2026 and will initially involve the\u00a0acquisition of a\u00a051% stake, with Colt CZ acquiring the\u00a0remaining 49% under the\u00a0already agreed terms in the\u00a0medium term. The\u00a0price of this transaction will be CZK 1.4 billion based on enterprise value and will be paid exclusively through the\u00a0issuance of new common shares of Colt CZ.<\/p>\n
